About the role

  • Provide legal advice and guidance to management on corporate, commercial, employment, and regulatory matters.
  • Draft, review, and negotiate contracts, agreements, MoUs, NDAs, and other legal documents.
  • Prepare and review corporate documents including MOA, AOA, Board Resolutions, meeting minutes, and corporate records.
  • Ensure compliance with Nepal’s Companies Act and other applicable laws, regulations, and legal requirements.
  • Handle company registration, amendments, regulatory filings, and government-related legal documentation.
  • Advise management on contractual liabilities, indemnity, termination, dispute resolution, and other key contractual provisions.
  • Support the organization on Labour Act, employment laws, Social Security Fund (SSF), and related compliance matters.
  • Conduct legal research and assess potential legal and business risks.
  • Identify legal risks in business activities, agreements, and transactions and recommend practical solutions.
  • Maintain proper records of legal documents, contracts, corporate matters, and compliance activities.
  • Coordinate with government authorities, external legal professionals, and other stakeholders when required.
  • Ensure confidentiality and maintain high standards of professional ethics in handling sensitive legal matters.

Requirements

  • Minimum 2 years of professional experience in corporate law or legal practice.
  • Practical knowledge of corporate documentation and company legal matters.
  • Strong knowledge of Nepal’s Companies Act and other relevant laws and regulations.
  • Proven experience drafting and reviewing contracts, agreements, MoUs, NDAs, and related legal documents.
  • Good understanding of MOA, AOA, Board Resolutions, meeting minutes, and corporate records.
  • Knowledge of Labour Act, employment laws, SSF, and employment-related compliance.
  • Ability to provide practical legal advice and conduct legal risk assessments.
  • Strong understanding of contractual clauses including liabilities, indemnity, termination, confidentiality, and dispute resolution.
  • Experience handling company registration, regulatory matters, and government documentation.
  • Excellent legal drafting and communication skills in both English and Nepali.
  • Strong professional ethics, confidentiality, responsiveness, and problem-solving abilities.
  • Ability and willingness to work full-time according to regular company working hours and attendance requirements.
  • Willingness to comply with company HR policies, leave policies, confidentiality requirements, and other applicable rules.
  • No conflicting professional engagements that may affect full-time commitment to the organization.

The ideal candidate should have strong knowledge of Nepalese corporate and employment laws, excellent legal drafting skills, and hands-on experience with contracts, corporate documentation, regulatory compliance, and legal risk assessment.

The candidate should demonstrate professional integrity, confidentiality, responsiveness, and a solution-oriented approach to legal and business challenges.
